The Smarter Question in Real Estate: When You’re Paying

Everyone in real estate loves to talk about price.

What’s the land worth? What’s the project worth? What’s the building worth?

We argue endlessly about comps, cap rates, replacement costs, and “what it should trade for.” But there’s a question that doesn’t get asked nearly enough – and it often separates the amateurs from the professionals:

Not what you’re paying… but when you’re paying.


Why Timing Matters as Much as Price

Here’s a simple example:

If a deal is “worth” $5 million today, many buyers will happily wire the full $5 million at signing. They’ll congratulate themselves on getting it “at value” and move on.

But that approach is often a big mistake.

Because in real estate, cash flow timing drives returns just as much as price does. The structure of your payments – how much is paid upfront, how much is deferred, and whether payments are tied to milestones – can change the entire profile of a deal.

Think of it this way: you wouldn’t borrow at 12% when you could borrow at 6%, right? Payment structure is no different. It’s a financial lever.


What Deferred Consideration Really Does

Deferred consideration means structuring payments over time rather than all at once. Sometimes that’s as simple as splitting a purchase price into installments. More often, it’s about tying payments to specific project milestones – like entitlements, permits, financing, or construction starts.

Handled properly, this approach unlocks massive financial advantages.

Here’s how:

1.  Frees Up Cash Flow Today

Capital is oxygen in development. Every dollar you pay upfront is a dollar you can’t use for design, consultants, or early-stage costs. Deferring payments keeps cash in your pocket during the riskiest part of the deal, when certainty is lowest and flexibility matters most.

2.  Boosts IRR by Pushing Cash Outflows Later

Internal Rate of Return (IRR) is as much about timing as it is about profit. If you can delay significant cash outflows until later in the project, you improve the velocity of your capital. That’s why savvy investors are obsessed not just with how much they pay, but when those dollars leave their account.

3.  Reduces Downside Risk

Let’s say you commit $5 million at signing and 18 months later the project falls apart at entitlements. You’ve lost $5 million.

Now imagine you only committed $1 million upfront, with the other $4 million contingent on hitting milestones. If things collapse, your exposure is a fraction of what it would’ve been. Deferred payments protect downside by making sure only the money actually invested is at risk.

4.  Buys Time to Validate Assumptions

Development is a game of assumptions – about costs, absorption, approvals, and market demand. Spreading payments over time buys you a window to validate (or disprove) those assumptions. If the numbers hold up, you move forward. If not, you’ve preserved optionality.

5.  Lowers Your Effective Entry Price

Here’s a subtle but powerful effect: deferring payments can actually make your effective entry price lower.

Why? Because future dollars are worth less than today’s dollars. If you agree to pay part of the price in two years, inflation and opportunity cost work in your favor. It’s like getting a built-in discount.

6.  Helps Bridge Valuation Gaps

Finally, deferred consideration is one of the most practical tools in negotiation.

Buyer thinks the land is worth $4.5 million. Seller insists on $5 million. Instead of walking away, you can agree to $5 million – but structure it so the last $500k only gets paid once certain milestones are met.

That way, the seller feels validated on price, and you protect yourself from overpaying if the project doesn’t progress as expected. Everybody saves face, and the deal gets done.


WWhy Most People Miss This

So why do so many investors still default to “all cash upfront”?

  • Laziness: It’s easier to wire the money once and be done with it.
  • Ego: Sellers like the optics of a “clean deal.” Buyers like bragging about closing.
  • Conventional Thinking: Traditional deal structures reinforce the idea that price is the only variable worth negotiating.

But professionals know better. They understand that timing is not a footnote – it’s a financial weapon.


Real-World Applications

Let’s ground this in a couple of real scenarios:

  • Land Acquisition: Instead of $5 million upfront, pay $1 million at signing, $2 million at entitlement, and $2 million at financing. Now you’ve aligned payments with risk reduction.
  • JV Buyouts: You’re acquiring a partner’s stake. Rather than cutting a $10 million check, structure it as $5 million now and $5 million upon stabilization. Protects you if lease-up takes longer than expected.
  • M&A Transactions: In corporate real estate acquisitions, earnouts are just deferred consideration by another name. They ensure sellers only realize full value if the asset performs.

The principle is the same across the board: align payments with milestones, and you instantly improve your risk-adjusted returns.


The Bottom Line

When people ask, “What’s the price?” they’re asking the wrong question.

The smarter question is: when are you paying?

Because timing matters as much as price. Sometimes even more.

Deferred payments free up cash flow, boost IRR, reduce downside risk, validate assumptions, lower effective entry prices, and bridge valuation gaps.

It’s not about nickel-and-diming or squeezing the other side. It’s about structuring deals so risk and capital move in sync.
